These Terms of Service (“Terms”) govern your access to and use of auditrampai.com and the invitation-only investor data room (together, the “Site”), operated by auditRAMP AI, Inc. (“auditRAMP,” “we,” “us”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. The Luca product is offered under a separate agreement and is not governed by these Terms.
1. Eligibility
You must be at least 18 years old and able to form a binding contract. If you use the Site on behalf of an organization, you represent that you are authorized to bind it to these Terms.
2. The Site
The Site is an informational and marketing website together with a restricted investor data room. We may change, suspend, or discontinue any part of the Site at any time.
3. Investor data room (confidential)
Access to the data room is by invitation only and is personal to you. All materials in it — including the pitch deck, financial model, cap table, and related information — are confidential and proprietary to auditRAMP and are provided solely for your evaluation of a potential investment. You agree not to copy, distribute, publish, or disclose them to anyone, and to keep your login credentials secure. The materials may contain forward-looking statements and projections that are uncertain and subject to change; they are not a guarantee of future performance. Nothing in the data room is an offer to sell or a solicitation to buy any security, or investment, legal, tax, or accounting advice. We may revoke access at any time.
4. Acceptable use
You agree not to:
- use the Site unlawfully or in violation of these Terms;
- scrape, harvest, or use automated means to access the Site beyond ordinary browsing;
- attempt to gain unauthorized access to, probe, or circumvent any security or access control;
- reverse engineer, disrupt, or interfere with the Site; or
- use the Site to infringe the rights of others.
5. Intellectual property
The Site and its content, design, and marks (including “auditRAMP” and “Luca”) are owned by auditRAMP or its licensors and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for its intended purpose. No other rights are granted.
6. Informational only — not professional advice
The Site is provided for general informational and marketing purposes. It is not audit, accounting, tax, legal, financial, or investment advice, and your use of it does not create any auditor-client, advisory, fiduciary, or other professional relationship. Do not rely on the Site as a substitute for professional advice.
7. Third-party links and services
The Site may reference or link to third-party content and services we do not control and do not endorse. We are not responsible for them.
8. Disclaimers
The Site is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty as to accuracy, availability, or uninterrupted operation. We do not warrant that the Site will be error-free or secure.
9. Limitation of liability
To the fullest extent permitted by law, auditRAMP and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred US dollars ($100).
10. Indemnification
You agree to indemnify and hold auditRAMP harmless from claims, losses, and expenses arising out of your misuse of the Site or your breach of these Terms.
11. Privacy
Your use of the Site is also governed by our Privacy Policy.
12. Changes
We may update these Terms from time to time. Changes take effect when posted, with a revised “Last updated” date. Your continued use of the Site means you accept the updated Terms.
13. Termination
We may suspend or terminate your access to the Site, including the investor data room, at any time and for any reason.
14. Governing law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Colorado for any dispute, and to first attempt to resolve any dispute informally by contacting us.
15. Miscellaneous
These Terms are the entire agreement between you and auditRAMP regarding the Site. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may.
